Terms and conditions

This is a generic terms template for Count Up, written for AGRO COM PLUS LLC. It is not legal advice. Have a lawyer review it, confirm the governing law and the company address, and adjust anything that does not match how the game is sold or distributed.

Agreement

These terms are a contract between you and AGRO COM PLUS LLC (“we”) for the Count Up game, including the app and this website (together, the “Game”). By downloading, installing, or playing Count Up, you agree to these terms and to the privacy policy. If you do not agree, do not use the Game.

If you are using the Game for a child, you are responsible for their use and for deciding whether a given mode is appropriate for them.

The game

Count Up is a timed mental-arithmetic game. You solve addition, subtraction, multiplication, and division problems in your head and enter whole-number answers before the round ends. Modes change the size of the numbers and the length of the clock. Past rounds may be stored on your device as a score, a rate, and a date.

We may change, pause, or stop the Game, or change modes and rules, at any time. Scores from past rounds are not a permanent record we promise to keep. If history lives only on your device, uninstalling the app or changing phones can erase it.

License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and play Count Up for your own entertainment and practice. You do not buy the Game itself. You receive the right to use the copy you installed, under these terms and the rules of the store you downloaded it from.

You may not:

• copy, sell, rent, sublicense, or distribute the Game, except as the store’s rules allow for your own device;
• reverse engineer, decompile, or try to extract source code, except where the law forbids that limit;
• scrape, overload, or interfere with the Game or this website;
• use the Game to build a competing product, or remove copyright and trademark notices;
• use cheats, automation, or modified clients to fabricate scores, if online features are added later.

What the game is not

Count Up is entertainment and informal practice. It is not a school, a medical device, a diagnostic tool, or a promise that your memory, grades, intelligence, or health will improve. Any description on the website of how mental arithmetic relates to learning is general background. It is not a claim that playing will produce a particular result for you. Do not rely on the Game for professional, educational, or medical decisions.

Accounts and conduct

The current Game does not require an account. If we add accounts later, you will be responsible for the activity under yours and for keeping access to your device secure.

You agree not to misuse the Game: no unlawful use, no attempt to break or probe it, and no use that infringes someone else’s rights. We may stop providing the Game to you if you break these terms.

Intellectual property

AGRO COM PLUS LLC owns the Game, the Count Up name, the logo, the visual design, the mode structure, and the text on this website, or uses them under license. These terms do not give you any trademark or ownership right. Feedback you choose to send us — ideas for modes, bug reports, suggestions — may be used by us without obligation to you, including to change the Game. Do not send anything you want to keep confidential.

Stores and third parties

If you download Count Up from an app store, that store’s terms also apply to the download, the license grant the store requires, and any payment. We are not responsible for the store’s outages, refund decisions, or account rules. Apple, Google, and other stores are not parties to these terms and are not responsible for the Game, except where their own required terms say otherwise.

To the extent a store’s mandatory license terms (for example, Apple’s standard end-user terms for apps) conflict with the license section above, the store’s mandatory terms control for users who downloaded the Game from that store.

Disclaimer of warranties

The Game and this website are provided “as is” and “as available.” To the fullest extent the law allows, AGRO COM PLUS LLC disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Game will be uninterrupted, error-free, or that any round, score, or rate will be saved. Some places do not allow these disclaimers, so parts of them may not apply to you. You may have rights that cannot be waived.

Limitation of liability

To the fullest extent the law allows, AGRO COM PLUS LLC and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost scores, arising out of the Game or these terms, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability for any claim relating to the Game or these terms is limited to the greater of (a) the amount you paid AGRO COM PLUS LLC for the Game in the three months before the claim, or (b) ten U.S. dollars, if you paid nothing. Some places do not allow these limits, so they may not apply to you. Nothing in these terms limits liability for fraud, or for death or personal injury caused by negligence, where the law does not allow that limit.

Indemnity

If your misuse of the Game, or your breach of these terms, leads to a claim against AGRO COM PLUS LLC, you will indemnify us for the resulting losses, damages, and reasonable legal fees, to the extent the law allows. We will tell you about the claim if we are allowed to.

Termination

You may stop using the Game at any time by uninstalling it. We may end the license if you materially break these terms. Sections that should survive — including intellectual property, disclaimers, liability limits, and governing law — will survive.

Changes

We may update these terms. The date at the top will change. If you keep playing after the updated terms are posted, you are agreeing to them. If you do not agree, stop using the Game. Where a law requires a more specific notice, we will follow that law.

Governing law

These terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction over disputes arising out of these terms or the Game, except that you may also bring a claim in the courts of your home jurisdiction where a consumer-protection law gives you that right and does not allow it to be waived. The UN Convention on Contracts for the International Sale of Goods does not apply.

If a provision of these terms is found unenforceable, the rest stays in effect. A failure to enforce a provision is not a waiver. These terms are the entire agreement between you and AGRO COM PLUS LLC about the Game and replace earlier understandings about the same subject.
